MUTUAL NON-DISCLOSURE AGREEMENT (MUTUAL NDA)
1. TERMS AND DEFINITIONS 1.1. Disclosing Party: Any User (Founder or Investor) who provides information via the Platform. 1.2. Receiving Party: Any User who gains access to information provided by another User. 1.3. Confidential Information: Any non-public information transmitted through the Platform (including Data Rooms, chats, and file exchanges), including but not limited to: financial metrics, business plans, intellectual property (IP), investment strategies, personal data, and terms of potential transactions.
2. SUBJECT OF THE AGREEMENT 2.1. Confidentiality Obligation. The Receiving Party agrees to maintain the strict confidentiality of any Confidential Information received from the Disclosing Party during the use of the IBDA GLOBAL platform. 2.2. Acceptance of Terms. Registration on the Website, completion of forms, or initiating communication with another User constitutes full and unconditional acceptance of this Policy.
3. OBLIGATIONS OF THE PARTIES The Receiving Party agrees to: 3.1. Permitted Use. Use the received information solely for the purpose of evaluating potential collaboration or investment. 3.2. Non-Disclosure. Not disclose the information to third parties without the prior written consent of the Disclosing Party. 3.3. Safeguarding. Implement security measures to protect the information and prevent unauthorized access by third parties.
4. EXCLUSIONS Information shall not be considered confidential if it: 4.1. Public Domain. Is or becomes publicly available at the time of disclosure through no fault of the Receiving Party. 4.2. Prior Knowledge. Was already legally known to the Receiving Party prior to the moment of disclosure.
5. LIABILITY Violation of this Policy entails liability in accordance with applicable law, including the obligation to compensate the affected Party for proven damages. The Platform acts as an arbiter only regarding the suspension or termination of the violator's account and does not intervene in financial or legal disputes between Users.
